Terms of Service

1. Agreement and Scope

These Terms of Service ("Terms") govern your use of RetryKit ("Service"), operated by Karim Nazir Hawi, a sole proprietor based in Newnan, Georgia, USA. By creating an account, connecting Stripe, or using the Service, you agree to these Terms.

2. What RetryKit Does

RetryKit helps businesses recover failed Stripe subscription payments. The Service monitors failed invoices, automatically retries charges using timing logic, and can send dunning emails to your customers to reduce involuntary churn.

3. Stripe Access and Permissions

To use core features, you authorize RetryKit through Stripe Connect OAuth. This grants RetryKit read/write API access needed to:

  • Read subscription, invoice, charge, and customer status data
  • Initiate retry-related billing actions in your Stripe account
  • Track outcomes of retries and recovery performance

You are responsible for keeping your Stripe account secure and for revoking access if you no longer want RetryKit to operate on your behalf.

4. Fees, Billing, and Refunds

RetryKit charges:

  • A monthly subscription fee for access to the platform
  • A 5% recovery fee on successfully recovered payments attributable to RetryKit

Fees are billed using the payment method on file and/or your connected Stripe setup as presented at checkout or in-app billing settings.

Refund policy: Subscription charges are generally non-refundable once a billing period starts. Recovery fees are charged only on successful recoveries and are non-refundable except in cases of clear billing error. If you believe there is an error, contact support@retrykit.com within 14 days of the charge.

5. Your Responsibilities

  • Provide accurate account and billing information
  • Use the Service in compliance with applicable laws and Stripe terms
  • Ensure your customer communications and billing practices are lawful
  • Review retry and email configurations before enabling automations

6. Data Handling

We process account, payment, and customer-related data to provide the Service. We do not sell your personal data. Data handling practices are described in our Privacy Policy.

7. Service Availability and Changes

We aim for reliable operation but do not guarantee uninterrupted or error-free service. We may improve, change, or discontinue features at any time.

8. Limitation of Liability

To the maximum extent permitted by law, RetryKit and Karim Nazir Hawi are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, or data loss. Total liability for any claim relating to the Service will not exceed the amount you paid to RetryKit in the 3 months before the event giving rise to the claim.

9. Termination

You may stop using the Service at any time and disconnect Stripe access. We may suspend or terminate access if you violate these Terms, use the Service unlawfully, or create risk to the platform or others. Sections that by nature should survive termination (including fees owed, liability limits, and dispute terms) will survive.

10. Governing Law

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law rules.
